Terms of service

The agreement between you and us.

These terms apply when you use Jarrah. They are meant to be read, so they are short and in plain English. Nothing here takes away rights you have under UK consumer law.

Who you contract with

Jarrah is provided by Clinton Boys, trading as Waratah Software, a sole trader established in England and Wales. When you buy a plan, you are contracting with us directly. We sell the service ourselves rather than through a reseller.

Stripe processes payments on our behalf. Stripe is our payment processor, not the seller and not the merchant of record, and your contract for the service is with us.

What we provide

Jarrah turns JSON you send us into an Excel workbook and returns it, either in the response or as a file to download. The documentation describes what the API accepts and what it returns.

Each plan carries limits — documents included per month, maximum rows per workbook, concurrent jobs, requests per minute, and how long generated files are kept. The current values are published at https://api.jarrah.sh/v1/plans, and that endpoint is authoritative: it is read from the same table the service enforces, so what it says is what will happen.

Your account

You need an account and at least one API key to use the service. Keep your keys secret. Anything done with your key is treated as done by you, so revoke a key in the dashboard as soon as you think it has been exposed.

You must be able to form a contract, and give us an email address that reaches you.

Price and tax

Prices include any VAT or sales tax that applies. The amount shown at checkout is the amount you are charged; nothing is added afterwards.

Prices are in US dollars. Your bank may charge a conversion fee if your card is in another currency, which is between you and them.

If we raise prices, existing subscriptions keep the rate they were bought at. A price change applies to new subscriptions, and to yours only if you change plan.

Billing and usage

Paid plans are billed in advance, monthly or annually, on the date you subscribed. Annual plans are charged at ten times the monthly price.

Each plan includes a number of documents per month. Documents beyond that are charged at your plan's per-document rate. The included allowance is subtracted before anything is billed — you are charged only for documents past it.

The free plan does not bill for overage. It stops at its allowance and returns an error until the month resets, so it cannot produce a bill you did not expect.

Test-mode renders are free, are not counted against any allowance, and are never billed. Every workbook they produce is watermarked, so they are not suitable for anything you give to a customer.

Cancelling

You can cancel at any time from the billing portal in your dashboard. You keep access until the end of the period you have already paid for, and your plan then reverts to free. We do not charge you again after you cancel.

We do not refund the unused part of a period by default, because you keep the service for all of it. Your statutory rights are unaffected — see below.

Refunds

If something has gone wrong, email us and we will sort it out. We would rather refund you than argue.

If you are a consumer rather than a business, you have statutory rights including, in most cases, a 14-day right to cancel a distance contract. Where you ask us to start the service immediately, that right may be reduced in proportion to what you have used. Nothing in these terms removes or limits rights you have under UK consumer law.

Your content

The data you send stays yours. You give us permission to process it only so far as is needed to generate your file and return it, and for no other purpose. What we do with it, and for how long, is set out in the privacy policy.

You are responsible for having the right to send us what you send, including where it contains other people's personal data.

Acceptable use

Do not use Jarrah to:

• generate or distribute anything unlawful;
• work around plan limits, for example by spreading one workload across several accounts;
• probe, overload or interfere with the service or with other customers' use of it;
• resell the API as though it were your own product. Using it inside your own application to produce files for your users is exactly what it is for.

Availability

The service is provided as it is. We do not offer an uptime guarantee or service credits. We will try to keep it running and to give notice of planned maintenance, but we are not promising a level of availability and you should not build something that assumes one.

If that is not good enough for what you are building, tell us before you buy rather than after.

Liability

We do not exclude or limit our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be excluded.

Otherwise, and to the extent the law allows, our total liability to you for anything connected with the service is limited to the amount you paid us in the twelve months before the claim. We are not liable for lost profits, lost revenue, or loss of data that you could have prevented by keeping your own copy of what you sent us.

If you are a consumer, this section does not affect your statutory rights.

Suspension and ending

We may suspend or close an account that is not paying, or that is breaking the acceptable use rules above. Except where something is seriously or repeatedly wrong, we will tell you first and give you a chance to fix it.

You can close your account at any time by asking us. Generated files are deleted on the schedule in the privacy policy.

Changes

We may change these terms or the service. If a change materially affects you, we will email account holders before it takes effect, and you can cancel if you do not accept it.

Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer resident elsewhere in the UK, you may also bring proceedings in your own courts.
